Terms of Use.

01Definitions.

"VB," "VB Engineering," "we," "us," "our" means VB Engineering India Private Limited, a company incorporated in India, and all VB Group® affiliates worldwide. "Site" means vbengg.com, all sub-domains, mobile applications, and any digital property owned or operated by VB. "Content" means all text, images, graphics, illustrations, videos, animations, 3D scenes, code, data, documentation, methodology descriptions, engineering language, deliverable formats, brand marks, and any other material appearing on the Site. "You" means any natural person or legal entity accessing the Site.

02Acceptance and eligibility.

By accessing the Site you represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you have full legal capacity to enter into a binding contract; (c) you are accessing the Site for lawful purposes only; (d) if you are accessing on behalf of an organisation, you have authority to bind that organisation to these Terms. If any of these representations is false, you must exit the Site immediately.

03Content is informational only. Not engineering advice.

All Content on this Site is provided for general informational and marketing purposes only. It is not, and shall not be construed as, engineering advice, professional advice, legal advice, financial advice, or a recommendation of any kind. Engineering studies (Load Flow, Short Circuit, Arc Flash, Protection Coordination, HAZOP, QRA, LOPA, SIL, LiDAR, As-Built, Simulation, or any other) require formal engagement, signed scope of work, and delivery of a Chartered-Engineer-signed deliverable. Marketing figures, capability descriptions, testimonials, case studies, and outcome metrics on the Site are illustrative and are not warranties of any specific result on any specific project.

You must not rely on any Content on this Site for engineering, safety, compliance, purchasing, or operational decisions. Any reliance you place on Content is strictly at your own risk. VB accepts no liability for any decision, action, or omission taken on the basis of Content on this Site.

04Intellectual property. All rights reserved to VB.

All Content on this Site is the exclusive property of VB Engineering, VB Group®, and its affiliates, and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of India and every other applicable jurisdiction. This includes without limitation:

• All text, articles, thought-leadership, whitepapers, case studies, and marketing copy.
• All photographs, illustrations, diagrams, animations, videos, 3D scenes, and visual designs.
• All source code, JavaScript, CSS, HTML markup, and technical implementations.
• The VB Engineering® and VB Group® marks, wordmarks, and logo.
• The category coinage "Brownfield Digital Engineering," "Scan-to-Twin," "Plant-as-Code," and any similar VB-originated terminology.
• The VB Arc360™ productised program and its five-stage methodology (ASSESS · LABEL · TRAIN · ENFORCE · RENEW).
• The ElecTwin™ electrical digital twin platform and application, and the Wistwin™ digital twin platform.
• All engineering methodology descriptions, deliverable formats, workflow schematics, quality-assurance frameworks, two-sign discipline, and any other proprietary VB process description.
• All numerical data, aggregated metrics, and performance statistics (including "1,000+ studies," "50,000+ LiDAR scans," "3,000+ km P&ID," and any similar aggregate).

You are granted a limited, revocable, non-transferable, non-exclusive licence to view the Content for your personal, non-commercial evaluation of VB Engineering’s services. No other rights are granted. All rights not expressly granted are reserved.

You must not, without VB’s prior written consent: reproduce, republish, distribute, transmit, modify, adapt, translate, create derivative works of, publicly display, publicly perform, sell, licence, or exploit any Content; frame, deep-link, or embed the Site in any other website; remove or alter any copyright, trademark, or attribution notice; reverse engineer, decompile, or extract source code from any Site component; or use the Content for any purpose other than personal, non-commercial evaluation.

05Prohibited uses.

You must not use this Site, or any Content, to: (a) train, fine-tune, evaluate, or otherwise develop any artificial intelligence, machine-learning model, large language model, generative model, or similar system; (b) create any dataset for AI or ML purposes; (c) scrape, harvest, crawl, mine, spider, index (except by search engines under standard robots.txt policies), aggregate, or otherwise collect Content in bulk; (d) compile a competitive dataset, benchmarking analysis, or market-intelligence product; (e) reproduce or reverse-engineer VB’s engineering methodology, deliverable structure, category coinage, or brand voice; (f) impersonate VB, misrepresent your affiliation, or falsely suggest VB endorsement; (g) transmit malware, viruses, or any harmful code; (h) interfere with, disable, or circumvent any Site security feature; (i) use the Site in violation of any applicable law or regulation.

The prohibition on AI and ML training applies without exception, notwithstanding any general-purpose or fair-use exception under any jurisdiction’s copyright law. You acknowledge that VB relies on this prohibition as material consideration for making the Site available. Breach of this section entitles VB to injunctive relief without bond, in addition to all other remedies.

06No engagement without a signed engagement letter.

Nothing on this Site, and no communication you have with us through this Site, a form, WhatsApp, chat widget, or email, creates a client relationship, engineering engagement, professional retainer, or contract of any kind. A binding engagement is created only upon: (a) execution of a written engagement letter or scope-of-work document by an authorised officer of VB Engineering; and (b) receipt by VB of any deposit or retainer specified therein. Until both conditions are met, VB owes you no engineering duty, no duty of care, no professional obligation, and no confidentiality obligation.

07Disclaimer of warranties.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VB DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, CURRENCY, RELIABILITY, UNINTERRUPTED OPERATION, ERROR-FREE OPERATION, SECURITY, OR THAT ANY DEFECT WILL BE CORRECTED. VB does not warrant that the Site is free of viruses or other harmful components. VB does not warrant that Content is accurate, current, or complete. You accept all risk arising from your use of the Site.

08Limitation of liability. Maximum liability capped at USD 100.

To the maximum extent permitted by law: (a) VB shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages, or for any loss of profit, revenue, business, goodwill, data, or opportunity, regardless of the theory of liability, even if VB has been advised of the possibility of such damages; (b) VB’s aggregate liability, across all claims, in all forums, over all time, arising in any way from your use of the Site or the Content or these Terms, shall not exceed the sum of one hundred United States dollars (USD 100); (c) the foregoing limitations apply to the fullest extent permitted by applicable law, and apply to all theories of liability including contract, tort (including negligence), strict liability, statute, breach of warranty, indemnity, and any other legal theory; (d) if any jurisdiction does not allow the exclusion or limitation of incidental or consequential damages, the foregoing limitation of USD 100 shall still apply, and other limitations shall apply to the fullest extent permitted in that jurisdiction.

You acknowledge that the pricing, availability, and other terms on which VB makes the Site available to you reflect an allocation of risk in which VB’s liability is materially limited, and that VB would not make the Site available on any other basis.

09Indemnification.

You agree to indemnify, defend, and hold harmless VB Engineering, VB Group®, and their respective directors, officers, employees, agents, contractors, and affiliates, from and against any and all claims, actions, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees, expert fees, and court costs) arising out of or in any way connected with: (a) your access to or use of the Site or the Content; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; (d) any content you submit to VB through the Site (including any form submission, resume upload, or transmitted document). VB reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which event you shall fully cooperate with VB and pay all reasonable defence costs.

10Governing law, jurisdiction, and arbitration.

These Terms are governed by, and construed in accordance with, the laws of India, without regard to any conflict-of-laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally settled by mandatory, binding arbitration conducted in Hyderabad, Telangana, India, in the English language, by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996 (India) as amended. The arbitral award shall be final and binding on the parties. The parties waive any right to seek relief in any other forum. Notwithstanding the foregoing, VB may seek injunctive or equitable relief in any court of competent jurisdiction for breach of Sections 04 (IP), 05 (Prohibited Uses), or 09 (Indemnification).

CLASS ACTION WAIVER. You and VB agree that any dispute shall be resolved on an individual basis only. You waive any right to bring or participate in any class action, collective action, mass action, representative action, private-attorney-general action, or consolidated arbitration. If any court determines that this class-action waiver is unenforceable, the entire arbitration agreement shall be void, and the dispute shall be resolved exclusively in the courts of Hyderabad, Telangana, India, before which the parties consent to personal jurisdiction and venue.

11Third-party links and integrations.

The Site may contain links to third-party websites, embed content from third parties, or integrate third-party services (including Bitrix24, Google, LinkedIn, Interakt, and others). VB does not control and is not responsible for the content, privacy practices, or operations of any third-party site or service. Your interaction with any third-party site or service is at your sole risk and subject to that party’s terms.

12Communications and consent.

By submitting a contact form, scoping request, chat message, WhatsApp inquiry, or resume, you consent to VB contacting you by email, phone, WhatsApp, and any other channel you provide, for any lawful business purpose including sales, marketing, service delivery, and relationship management. You consent to VB using your submission for CRM enrichment, marketing analytics, and account-based marketing. Standard messaging and data rates may apply. You may opt out of marketing communications, but functional communications will continue.

13Modifications to Terms and Site.

VB may modify these Terms at any time, without prior notice, at its sole discretion. The updated Terms will be posted at this URL with a revised effective date. Your continued use of the Site after the effective date is your acceptance of the updated Terms. VB may modify, suspend, or discontinue the Site or any Content at any time without notice or liability.

14Assignment.

You may not assign, transfer, or sublicense these Terms or any rights under them, in whole or in part, without VB’s prior written consent. Any purported assignment in violation of this section is void. VB may assign these Terms freely, without notice or consent, in connection with any corporate transaction, restructuring, or otherwise.

15Force majeure.

VB shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including without limitation acts of God, natural disasters, epidemics, war, terrorism, civil unrest, government action, labour strikes, utility failures, cyberattacks, internet outages, or supply-chain disruptions.

16Severability, waiver, entire agreement.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if that is not possible, severed, and the remaining provisions shall continue in full force and effect. VB’s failure to enforce any provision shall not constitute a waiver of that or any other provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and VB with respect to your use of the Site, and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written.

17Notices.

Any notice to VB shall be in writing and delivered to the Data Protection Officer at [email protected], or to VB’s registered office in Hyderabad, Telangana, India, by internationally recognised courier with delivery confirmation. Notices to you may be delivered by email to the address you have provided, or by posting on the Site, and shall be deemed received upon posting.

18Survival.

Sections 04 (Intellectual Property), 05 (Prohibited Uses), 07 (Disclaimer of Warranties), 08 (Limitation of Liability), 09 (Indemnification), 10 (Governing Law and Arbitration), and any other provision which by its nature should survive, shall survive termination of these Terms and your use of the Site.
